Terms of Service

These Terms of Service (“Terms”) govern your access to and use of WiggyHQ, a product of SparrowHQ Ltd (“Company”, “we”, “us”, or “our”), available at wiggyhq.com(the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using it, you represent that you meet this requirement and that the information you provide is accurate. If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

You may register using your Google account via OAuth. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately at legal@wiggyhq.com if you suspect any unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the Service or other users.

3. The Service

WiggyHQ provides:

• An AI-powered chat widget that you can embed on your website.
• Automated website crawling and knowledge indexing.
• Lead capture and delivery to your registered email address.
• A dashboard for managing widget settings, conversations, and leads.

The Service is provided “as is” and we may modify, suspend, or discontinue any part of it at any time with reasonable notice where practicable.

4. Widget Embed Licence

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to embed the WiggyHQ widget script on websites that you own or operate.

You may not: (a) sublicence or resell the widget; (b) modify or reverse-engineer the widget script; (c) remove or obscure any attribution or branding required by your plan; or (d) use the widget on websites owned by third parties without their consent.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of any third party.
• Transmit spam, malware, or any harmful or deceptive content.
• Collect personal data from minors under 16 without appropriate consent.
• Impersonate any person or entity or misrepresent your affiliation.
• Attempt to probe, scan, or test the vulnerability of our systems.
• Use the AI to generate content that is discriminatory, defamatory, sexually explicit, violent, or that promotes illegal activity.
• Crawl third-party websites without having the right to do so (e.g. competitor sites, sites whose robots.txt disallows crawling).

We reserve the right to investigate violations and, at our sole discretion, remove content, suspend accounts, or involve law enforcement.

6. Content You Provide

You retain ownership of all content you submit to the Service, including your business description, website content indexed by our crawler, and widget configuration. By submitting content, you grant us a worldwide, royalty-free licence to host, process, and display that content solely for the purpose of providing the Service to you.

You represent and warrant that you have all rights necessary to grant this licence and that your content does not violate any third party’s rights.

7. AI-Generated Responses

The AI assistant generates responses based on information you provide. We do not guarantee that responses will be accurate, complete, or suitable for any particular purpose. You are solely responsible for reviewing the AI’s behaviour and ensuring it provides accurate and appropriate information to your visitors.

Do not rely on WiggyHQ for medical, legal, financial, or safety-critical advice. We strongly recommend disclosing to your visitors that they are interacting with an AI.

8. Fees and Payment

The Starter plan is free. Paid plans are billed monthly or annually in advance. All fees are stated in US dollars and are non-refundable except as required by applicable law or as expressly stated at the time of purchase.

If a payment fails, we will notify you and may downgrade your account to the Starter plan after a 7-day grace period. We reserve the right to change pricing with 30 days’ notice.

9. Intellectual Property

All rights, title, and interest in the Service — including the WiggyHQ brand, dashboard, widget code, and underlying technology — are owned by SparrowHQ Ltd. Nothing in these Terms transfers any intellectual property rights to you except for the limited embed licence in Section 4.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, SparrowHQ Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.

Our total aggregate liability to you for any claim arising from these Terms or your use of the Service shall not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim or (b) £100.

12. Indemnification

You agree to defend, indemnify, and hold harmless SparrowHQ Ltd and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; or (c) content you submit to the Service.

13. Third-Party Services

The Service integrates with third-party services including Google OAuth, Ollama, and the SparrowHQ suite. Use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability or conduct of third-party services.

14. Termination

You may delete your account at any time from your dashboard settings. We may terminate or suspend your access immediately, without notice, for cause (including breach of these Terms). On termination, the licences granted to you cease immediately and we will delete your data within 30 days, subject to our legal obligations.

15. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer resident in another jurisdiction, in which case local mandatory consumer protection laws may apply.

16. Changes to These Terms

We may update these Terms from time to time. We will provide at least 14 days’ notice before material changes take effect by emailing registered account holders and updating the “Last updated” date above. Your continued use of the Service after that date constitutes acceptance of the revised Terms.
